Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, products, and services provided by Aria Labs (“Aria Labs,” “we,” “us,” or “our”), including our operational intelligence platform and any related applications, integrations, and APIs (collectively, the “Service”).
By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” and “Customer” refer to that entity. If a separate written agreement (such as a Master Services Agreement or Order Form) is signed between you and Aria Labs, that agreement governs to the extent it conflicts with these Terms.
01Definitions
- “Service” means the Aria Labs operational intelligence platform, websites, applications, integrations, APIs, and related services we make available to you.
- “Customer Data” means the data, content, files, credentials, and information that you or your authorized users submit to the Service, or that the Service accesses from your connected third-party systems at your direction.
- “Execution Pattern” means a reusable workflow captured in the Service — its inputs, steps, checks, and expected output — that the Service can run on your behalf.
- “Output” means the results, drafts, summaries, recommendations, and other content the Service generates from Customer Data.
- “Authorized User” means an individual you permit to access the Service under your account.
- “Third-Party Services” means software, systems, or services not provided by Aria Labs that you connect to or use with the Service.
02The Service
Aria Labs provides software that learns how your team performs repeated operational work and turns it into reusable Execution Patterns that can run on demand and improve over time. The Service is designed to assist with and pre-check operational work and to provide structured decision support.
The Service is intended for business use by organizations and their Authorized Users. We may update, improve, or modify the Service from time to time. We may also release features identified as beta, preview, or evaluation, which are provided “as is,” may be changed or discontinued, and are excluded from any service commitments.
03Accounts, Eligibility, and Security
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the activity that occurs under your account and for maintaining the confidentiality of your credentials.
- Provide accurate account and contact information and keep it current.
- Safeguard your authentication credentials and any access tokens issued to you, and restrict access to Authorized Users.
- Promptly notify us at security@arialabs.ai of any suspected unauthorized access or use of your account.
- Ensure your Authorized Users comply with these Terms.
04Customer Data and Your Responsibilities
As between the parties, you retain all right, title, and interest in and to Customer Data. You grant Aria Labs a non-exclusive, worldwide license to access, host, copy, process, and transmit Customer Data solely as necessary to provide, secure, and support the Service for you, and as otherwise permitted in these Terms and our Privacy Policy.
We process Customer Data only to provide the Service to you and on your instructions; we do not sell it, and we do not use it to train foundation models for the benefit of other customers. Enterprise customers may request a Data Processing Addendum (DPA) governing our handling of personal data within Customer Data.
You are responsible for the accuracy, quality, and legality of Customer Data and for your right to submit it and to authorize Aria Labs to access your connected systems. You represent that you have obtained all consents and authorizations required for Aria Labs to process Customer Data on your behalf, including from any individuals whose information it contains.
You are responsible for reviewing Output before relying on it or acting on it. The Service keeps a human in control of consequential decisions; it does not replace your independent review, approval, or judgment.
05AI Output and No Professional Advice
The Service uses artificial intelligence and machine learning. AI-generated Output can be incomplete, inaccurate, or otherwise not suitable for your purposes, and may vary between runs. Output is provided for your evaluation and must be reviewed by a qualified person before use.
Output does not constitute legal, regulatory, compliance, financial, tax, or other professional advice, and Aria Labs is not your agent or fiduciary. The Service is assistive: it pre-checks work and surfaces decision support, but it does not make autonomous legal, regulatory, or compliance determinations on your behalf. You are solely responsible for decisions you make and actions you take based on Output.
06Acceptable Use
You agree not to, and not to permit any Authorized User or third party to:
- Use the Service in violation of any applicable law, regulation, or third-party right, or to process data you are not authorized to process.
- Upload or transmit malware, or attempt to gain unauthorized access to the Service, other accounts, or our systems or networks.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted, or use it to build a competing product.
- Interfere with or disrupt the integrity or performance of the Service, or circumvent usage limits, rate limits, or security measures.
- Use the Service to make fully automated decisions that produce legal or similarly significant effects on individuals without appropriate human oversight.
We may suspend access to the Service where we reasonably believe these Terms have been violated or where necessary to protect the Service, our customers, or third parties.
07Third-Party Services and Integrations
The Service can connect, at your direction, to Third-Party Services such as Google Workspace, Slack, Feishu/Lark, and enterprise systems including SAP, Coupa, NetSuite, ServiceNow, Workday, SAP Concur, and DocuSign. When you connect a Third-Party Service, you authorize Aria Labs to access and exchange data with it on your behalf using the scopes you grant.
Your use of Third-Party Services is governed by their own terms and privacy policies, and you are responsible for your accounts and authorizations with them. Aria Labs does not control and is not responsible for Third-Party Services, and their availability or changes may affect the Service. You may revoke a connection at any time, which may limit related functionality.
08Intellectual Property and Feedback
The Service, including all software, models, designs, and documentation, and all related intellectual property rights, are and remain the exclusive property of Aria Labs and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you by implication or otherwise.
If you provide suggestions, ideas, or other feedback about the Service, you grant Aria Labs a perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve and operate the Service, without obligation to you.
09Fees and Payment
Certain features of the Service are paid and are described in an Order Form or subscription plan agreed between you and Aria Labs. Unless stated otherwise in an Order Form, fees are quoted exclusive of taxes, are due as specified, and are non-refundable except as required by law. We may suspend the Service for non-payment after reasonable notice. Pilots, trials, and evaluation access may be offered free of charge and may be modified or discontinued.
10Confidentiality
Each party may access the other’s confidential information in connection with the Service. The receiving party will use confidential information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisors who need to know it and are bound by confidentiality obligations. This does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party, or to disclosures required by law.
11Term and Termination
These Terms apply while you access or use the Service. You may stop using the Service at any time. Either party may terminate for the other’s material breach that remains uncured 30 days after written notice. We may suspend or terminate access immediately where required to protect the Service or comply with law.
Upon termination, your right to use the Service ends. We will make Customer Data available for export for a limited period as described in our Privacy Policy or an applicable Order Form, after which we may delete it in the ordinary course. Provisions that by their nature should survive termination will survive.
12Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ARIA LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.
13Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIA LABS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE AND THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO ARIA LABS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING. THESE LIMITATIONS APPLY IN THE AGGREGATE AND DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
14Indemnification
You will defend, indemnify, and hold harmless Aria Labs and its affiliates, officers, and employees from and against any third-party claims, damages, and reasonable costs (including attorneys’ fees) arising out of or relating to your Customer Data, your use of the Service in violation of these Terms or applicable law, or your connection of and instructions to Third-Party Services.
15Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to an alternative dispute-resolution process agreed in a signed agreement. Each party waives any objection to venue in those courts.
16Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new “Last updated” date or notifying you through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
17Miscellaneous
These Terms, together with any Order Form, Privacy Policy, and other policies referenced here, are the entire agreement between you and Aria Labs regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
